5. Intellectual Property

Unless otherwise agreed, all intellectual property developed during the project remains the property of the client upon full payment. VEXO retains rights to pre-existing tools, templates, and processes.

6. Confidentiality

Both parties agree to keep all confidential information shared during the engagement private and secure, and not disclose it to any third party without written consent.

7. Limitation of Liability

To the fullest extent permitted by law:

VEXO Outsourcing is not liable for indirect, incidental, or consequential damages
Our total liability in any claim is limited to the amount paid for the service giving rise to the claim

8. Termination

Either party may terminate the engagement with written notice in accordance with the service agreement. In case of early termination, fees for work already delivered remain payable.

9. Governing Law

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict of law provisions. Any dispute shall be settled in the courts of Makati City, Metro Manila.
